EXPLANATORY NOTE

Pursuant to General Instruction E on Form S-8, this Registration Statement is being filed for the purpose of registering an additional 2,500,000 shares of common stock of FormFactor, Inc. (the “Registrant”) issuable pursuant to the Registrant’s amended and restated Employee Stock Purchase Plan, effective as of May 19, 2023 and incorporated by reference hereto.
