Pursuant to General Instruction E on Form S-8, this Registration Statement is being filed for the purpose of registering an additional 3,000,000 shares of common stock of FormFactor, Inc. (the “Registrant”) issuable pursuant to the Registrant’s Employee Stock Purchase Plan.
