Notice is hereby given that the Annual Meeting of Stockholders of FormFactor, Inc. will be held on May 19, 2011 at 3:00 p.m. Pacific Daylight Time at 7005 Southfront Road, Livermore, California 94551 for the following purposes: (1) Election of the following nominees as Class II directors: 01 – G. Carl Everett, Jr. 02 – Thomas St. Dennis (2) An advisory vote on executive compensation. (3) An advisory vote on the frequency of shareholder advisory votes on executive compensation. (4) Ratification of the selection of PricewaterhouseCoopers LLP as FormFactor’s independent registered public accounting firm for fiscal year 2011. Note: Voting items may include such other business as may properly come before the meeting or any adjournment or postponement thereof. The Board of Directors recommends a vote FOR the election of the Class II nominees to the board of directors listed (proposal no. 1), FOR an advisory vote on executive compensation (proposal no. 2), FOR a one year frequency for an advisory vote on executive compensation (proposal no. 3), and FOR the ratification of the selection of the independent registered public accounting firm for fiscal year 2011 (proposal no. 4).
